1. Acceptance of Terms
By accessing or using DialPhone AI Pro services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.
2. Description of Services
DialPhone provides an AI-powered unified communications platform including business phone, team chat, video meetings, business SMS, online fax, contact center, and AI-powered tools. Services are delivered on a subscription basis and may be updated from time to time.
3. Account Registration
To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify DialPhone immediately of any unauthorized use.
4. Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis as selected during signup.
- Annual billing provides savings of up to 33% compared to monthly billing.
- All fees are non-refundable except as required by law or stated in our refund policy.
- Prices are subject to change with 30 days prior written notice.
- Late payments may result in service suspension after a 15-day grace period.
5. Acceptable Use
You agree to use the Services in compliance with all applicable laws, including but not limited to TCPA, GDPR, HIPAA (if applicable), and telecommunications regulations. You may not use the Services for unlawful purposes, to transmit harmful content, or to interfere with other users. See our Acceptable Use Policy for complete details.
6. Intellectual Property
DialPhone and its licensors retain all intellectual property rights in the Services, including software, documentation, trademarks, and trade secrets. Your subscription grants a limited, non-exclusive, non-transferable license to access and use the Services during your subscription term. You retain ownership of your data.
7. Service Level Agreement
DialPhone guarantees 99.999% uptime for the platform. If we fail to meet this commitment, eligible customers will receive service credits as detailed in our SLA documentation. Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 72 hours in advance.
8. Limitation of Liability
To the maximum extent permitted by applicable law, DialPhone's total aggregate liability for all claims arising from or relating to these Terms or the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim. In no event shall DialPhone be liable for any indirect, incidental, special, consequential, or punitive damages.
9. Termination
- Either party may terminate with 30 days written notice.
- DialPhone may suspend or terminate accounts that violate these Terms immediately.
- Upon termination, you may export your data within 30 days. After this period, data will be deleted in accordance with our retention policy.
- Accrued payment obligations survive termination.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except where injunctive relief is sought.
